Terms of Service

These Terms are a contract between you and Parameter, LLC (“StackFill,” “we,” “us”) governing your use of the StackFill website, apps, and API (the “Service”). By creating an account or using the Service you agree to these Terms. If you use the Service on behalf of an organization, you agree on its behalf and confirm you are authorized to do so.

1. The Service

StackFill turns a print file you already have into a fillable, on-brand template. You upload a master PDF; we parse it into a structured, editable scene; you mark which fields are editable; and you publish a hosted fill link or storefront embed so your customers can personalize it and download a print-ready PDF. Features vary by plan.

2. Eligibility & accounts

You must be at least 18 and able to form a binding contract. The Service is for business use. Sign-in is passwordless: we create an account and a personal workspace the first time you sign in with a valid email link or Google account. You are responsible for activity in your account and workspace, for the accuracy of your details, and for the people you invite. Notify us promptly of any unauthorized use.

3. Subscriptions, billing & taxes

  • Plans & billing. Paid plans are billed in advance on a recurring monthly or annual basis through our payment processor, Stripe. Prices are shown at stackfill.com/pricing.
  • Auto-renewal. Subscriptions renew automatically until canceled. You can change or cancel your plan at any time from the billing portal; cancellation takes effect at the end of the current billing period.
  • Usage & overages. Some plans include monthly limits (for example, templates and final renders). Additional capacity may be offered as add-on packs.
  • Refunds. Except where required by law, payments — including for partial billing periods — are non-refundable.
  • Taxes. Fees are exclusive of taxes; you are responsible for any applicable sales, use, VAT, or similar taxes.
  • Payment fees on your fills. If you enable paid fills collected through your own Stripe account, any platform fee we disclose at the time of the transaction applies, and the terms of your payment processor also apply.

4. Your content and the rights you grant

“Your Content” means everything you upload or create in the Service — master PDFs, fonts, images, templates, projects, selection sets, branding, and the values submitted through your fill links. As between you and StackFill, you own Your Content. You grant us a worldwide, non-exclusive license to host, store, process, transmit, and render Your Content solely to operate and provide the Service to you.

You warrant that you have all rights necessary to upload and use Your Content, including any fonts, images, logos, and artwork, and that your use and our processing of it do not infringe any third party’s rights or violate any font or image license. You are responsible for your font and asset licensing.

5. Fills and your customers’ data

When your customers personalize a template through a hosted link or embed, the information they enter is collected on your behalf. For that end-customer data, you are the data controller and StackFill is your processor; you are responsible for having a lawful basis and appropriate notices to collect it. Our handling of it is described in our Privacy Policy. A Data Processing Addendum is available on request for customers who require one.

6. Acceptable use

You agree not to: upload content you don’t have the rights to; use the Service for anything unlawful, infringing, deceptive, or harmful; attempt to breach or probe security, bypass usage limits or the watermark/paywall, or access another workspace’s data; reverse engineer or resell the Service except as expressly permitted; or overload or disrupt the Service. We may suspend or terminate accounts that violate these Terms.

7. StackFill’s intellectual property

The Service, including its software, parser, renderer, design, and trademarks, is owned by StackFill and its licensors and is protected by law. These Terms grant you no rights in it except the limited right to use the Service per these Terms.

8. Third-party services

The Service relies on third parties including Cloudflare, Stripe, Mailgun, Fly.io, and (optionally) Google sign-in. Your use may be subject to their terms, and we are not responsible for third-party services. See the Privacy Policy for the current sub-processor list.

9. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that color, fonts, or output will exactly match any specific press, device, or expectation; you are responsible for reviewing every proof before printing.

10. Limitation of liability

To the maximum extent permitted by law, StackFill will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or print/production costs. Our total liability for any claim will not exceed the amounts you paid us in the 12 months before the event giving rise to the claim.

11. Indemnification

You will defend and indemnify StackFill against claims arising from Your Content, your use of the Service, or your violation of these Terms or of any law or third-party right.

12. Termination

You may stop using the Service and delete your workspace or account at any time from your account settings (see “Delete” under Settings), which erases your data as described in the Privacy Policy. We may suspend or terminate your access for breach or to comply with law. Sections that by their nature should survive termination will survive.

13. Changes to the Service or these Terms

We may modify the Service or these Terms. If we make material changes to these Terms, we will provide reasonable notice (for example, by email or in-app). Continued use after changes take effect means you accept them.

14. Governing law & disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules, and any dispute will be resolved in the state or federal courts located in Miami-Dade County, Florida.
